1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement (the "Agreement") between you ("Member", "you", or "your") and St Mary's Toastmaster Club ("SMTCDubai", "the Club", "we", or "us") governing your access to and use of the SMTC Member Portal (the "Portal"). By clicking "I Agree", registering an account, or otherwise accessing the Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Portal. Your continued use of the Portal following any amendment to these Terms constitutes your acceptance of the revised Terms.
2. Provision of Data at Your Own Risk
You acknowledge that any information you submit to the Portal — including but not limited to your name, contact details, date of birth, membership records, speech and evaluation history, biographical and speaker introductions, photographs, and any other personal data (collectively, "Member Data") — is provided entirely at your own risk and discretion. You are solely responsible for the accuracy, completeness, and lawfulness of the Member Data you submit, and for maintaining the confidentiality of your account credentials. SMTCDubai does not verify the accuracy of Member Data and assumes no responsibility for any consequence arising from the submission, storage, or display of Member Data.
3. Third-Party Hosting and Processing
The Portal, including all Member Data submitted through it, is hosted, stored, and processed on third-party infrastructure and cloud services (collectively, "Third-Party Services") over which SMTCDubai exercises no control. By submitting Member Data to the Portal, you expressly consent to the storage and processing of your Member Data by such Third-Party Services in accordance with their respective terms of service and privacy policies, which are independent of, and not governed by, SMTCDubai. You acknowledge that SMTCDubai makes no representation regarding the security, availability, or practices of any Third-Party Service.
4. Artificial Intelligence and Model Training Disclaimer
You acknowledge and agree that Third-Party Services hosting the Portal may, at their sole discretion, use, retain, or process Member Data for the purpose of training, developing, or improving machine learning models, artificial intelligence systems, or any similar technology. SMTCDubai, its administrators, and its Executive Committee (Excom) shall not be held liable or accountable for any such use of Member Data by Third-Party Services. Once Member Data is submitted to the Portal, SMTCDubai has no ability to control, restrict, or influence how Third-Party Services may process, store, or utilize such data, and you accept this risk as a condition of using the Portal.
5. Disclaimer of Liability
To the fullest extent permitted by applicable law, SMTCDubai, its Executive Committee, club officers, administrators, members, and affiliates (collectively, the "Released Parties") shall not be liable for any data leak, data loss, unauthorized access, breach, theft, corruption, or any other issue relating to Member Data, whether arising from the use of the Portal, the acts or omissions of Third-Party Services, or otherwise. The Portal and all Member Data are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. You expressly waive any claim against the Released Parties arising from or relating to your use of the Portal or the handling of Member Data by any third party.
6. Indemnification
You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to your Member Data, your breach of these Terms, or your use of the Portal.
7. Amendments and Versioning
SMTCDubai reserves the right to amend these Terms at any time. Each revision shall be identified by a version number and effective date. Following any amendment, you will be required to review and accept the revised Terms upon your next login to the Portal. Your continued use of the Portal after such amendment constitutes your acceptance of the revised Terms. A record of your acceptance, including the version accepted and the timestamp of acceptance, shall be retained for audit and compliance purposes.
8. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.
9. Acknowledgment
By accepting these Terms, you confirm that you have read and understood all provisions herein, that you are providing your Member Data voluntarily and at your own risk, and that you release SMTCDubai and its administrators from any liability for data leaks, data misuse by third parties, or any other issues arising from your use of the Portal.
